Terms and Conditions

These terms govern the use of shipglobal.dev. They are as short as they can be and as precise as they have to be.

Scope

These Terms and Conditions govern the use of the translation service shipglobal.dev, operated by Balane GmbH, Balanstraße 84, 81541 Munich, Germany. Conflicting terms of the user do not become part of the contract unless we expressly agree to them in writing.

Contract partners and Merchant of Record

Two parties are involved in this service. This matters for invoices, VAT and refunds — which is why it comes first.

Balane GmbH
Provides the translation service. Your contract partner for everything the service does.
Lemon Squeezy, LLC
Merchant of Record, i.e. the seller of the credits. Processes the payment, remits sales tax and VAT, and issues the invoice.

When you buy credits, the purchase contract is concluded between you and Lemon Squeezy. The Lemon Squeezy terms additionally apply to the checkout.

Your invoice comes from Lemon Squeezy, not from Balane GmbH. We do not issue our own invoices for purchased credits.

The service

shipglobal.dev translates localization files by machine, using AI models. The service comprises:

  • Translation of localization files into the target languages listed on the website at any given time.
  • Preservation of placeholders and formatting markers in the translated file.
  • A translation memory per project, from which already translated strings are reused free of charge.
  • An analysis before you place an order, showing which strings need translating and what the run will cost.
  • Access through the web interface, an API, and a command-line tool.

Which target languages and file formats are available follows from the website as it stands at any given time. There is no entitlement to a particular language, format or AI model.

Credits, prices and billing

Usage is billed against a prepaid credit balance. One token equals one cent.

  • The price of an order depends on the number of characters to be translated, per target language.
  • Before every order, the analysis shows you the exact price. Only your confirmation places the order.
  • Strings already held in your project’s translation memory are not charged again.
  • On placing the order, the displayed amount is deducted from your balance.
  • Credits do not expire.

The prices stated on the website apply as they stand at the time the order is placed. Price changes do not apply retroactively to orders already placed.

Payout of unused credits is excluded, except where a statutory right of withdrawal or refund applies. Refunds are handled by Lemon Squeezy as the seller.

Right of withdrawal for consumers

If you are a consumer within the meaning of § 13 of the German Civil Code (BGB), you have a statutory right to withdraw from the purchase of credits within fourteen days. Withdrawal must be declared to Lemon Squeezy as the seller; the details and the model withdrawal form are provided in the withdrawal instructions during checkout.

Early expiry of the right of withdrawal

For the supply of digital content, the right of withdrawal expires early if you have expressly consented to us beginning performance before the withdrawal period has elapsed, and you have confirmed your awareness that you thereby lose your right of withdrawal (§ 356(5) BGB).

As long as you have not given such consent, your right of withdrawal remains. Credits you have not yet spent on an order can be withdrawn from within the period.

Your content

You retain all rights in the files and text you upload. We use them solely to perform the translation you ordered, and we do not pass them on to third parties other than the processors named in the privacy policy.

By uploading, you warrant that:

  • you hold the necessary rights in the content,
  • the content does not infringe the rights of third parties,
  • the content does not violate applicable law,
  • you are entitled to have the content machine-translated — including where it contains personal data.

You alone are responsible for the content you upload. Before uploading, check whether the file contains personal or confidential data that must not be sent to an AI service.

Machine translation — what we promise and what we do not

Translations are produced by AI models, not by human translators. We owe you the proper execution of the translation process, not a substantively flawless result.

  • We do promise that placeholders and formatting markers are preserved. Translations that fail this check are not delivered.
  • We do not promise that a translation is substantively correct, stylistically appropriate, or fit for a particular purpose.
  • We do not promise that translations meet the legal requirements of a target market. Legal, medical and safety-critical content belongs with a specialist human translator.

Review the result before you publish it. This is not boilerplate: you are responsible for how the translations are used.

Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, where we have given a guarantee, and under the German Product Liability Act.

For slightly negligent breach of a material contractual obligation — an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose observance you may regularly rely — our liability is limited in amount to the foreseeable damage typical for this type of contract.

Liability is otherwise excluded. In particular, we are not liable for damage arising from your publishing or deploying a machine translation without reviewing it.

We are liable for loss of data only to the extent the damage would have occurred even with proper and regular backups on your side. Back your translations up locally; export is available to you at any time.

Availability and ongoing rework

We aim for high availability but do not owe it. No specific uptime figure is promised. Maintenance, failures at upstream providers and force majeure may temporarily limit the service.

shipglobal.dev is currently undergoing a technical rework. During this phase, outages, incorrect displays and delayed jobs can occur. We say so on the website. Credits already deducted for an order we cannot deliver will be credited back to you.

Translation memory

If you create a project, we store your translations in a translation memory. It lowers the cost of future orders, because strings already translated are neither sent to an AI model again nor charged again.

The translation memory belongs to your project. You can inspect it, edit individual entries, export it or delete it entirely at any time. We do not use it for other customers and we do not use it to train models.

Use of AI services

For translation we currently use models from OpenAI. The text you upload is transmitted to OpenAI for this purpose.

We reserve the right to use additional or different AI providers where this serves quality or cost. Changes will be announced in the privacy policy. For details on the processing: Privacy Policy

Termination and deletion

You can delete your account at any time in the settings, without giving reasons. Deletion removes your projects, translation memories and order data. Export what you want to keep beforehand.

We may terminate the contract with 30 days’ notice, and without notice in the event of serious breaches of these terms, in particular unlawful use of the service.

Deletion after inactivity

  • Accounts with no activity — no login, no order — are marked inactive after 12 months.
  • You receive an email 30 days before deletion, to the address on file.
  • If there is no response, the account, projects and translation memories are irrevocably deleted.
  • Any login resets the period.

Unused credits do not lapse automatically; if you log in before the deadline, they are retained.

Changes to these terms

We may amend these terms where required by a change in the law, in case law, or in the service. We announce changes by email at least 30 days before they take effect.

If you do not object within that period, the changes are deemed accepted. We will point out this right to object and its consequences separately in the announcement. If you do object, you may terminate the contract as of the date the changes take effect; in that case we refund unused credits.

Governing law and jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer habitually resident in the EU, mandatory consumer protection provisions of your country of residence remain unaffected.

If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Munich.

Severability

Should any provision of these terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory rules take the place of the invalid provision.
