Terms and Conditions

These terms govern the use of shipglobal.dev. They are as short as they can be and as precise as they have to be.

Scope

These Terms and Conditions govern the use of the translation service shipglobal.dev, operated by Balane GmbH, Balanstraße 84, 81541 Munich, Germany. Conflicting terms of the user do not become part of the contract unless we expressly agree to them in writing.

Contract partners and Merchant of Record

Two parties are involved in this service. This matters for invoices, VAT and refunds — which is why it comes first.

Balane GmbH
Provides the software and performs the service. Your contract partner for everything the product does.
Lemon Squeezy, LLC
Merchant of Record — the seller of the subscription. Processes the payment, remits the VAT and issues the invoice, covering the base fee and the metered usage.

When you take out a subscription, the purchase contract is concluded between you and Lemon Squeezy. The Lemon Squeezy terms additionally apply to the checkout.

Your invoice comes from Lemon Squeezy, not from Balane GmbH. We do not issue our own invoices for the subscription or the usage.

The service

ShipGlobal is software that machine-translates localization files using AI models. You rent the software on subscription. In the desktop app, translation runs on your machine; in the web app it is handled by our hosted engine, which processes the transmitted content for the run only and does not store it. The service comprises:

  • Translation of localization files into the target languages listed on the website at any given time.
  • Preservation of placeholders and formatting markers in the translated file.
  • A local translation memory per project that lives with you and reuses what has already been translated.
  • An analysis before every run, showing which text needs translating.
  • A license key that activates the software on the agreed number of machines (seats).

Which target languages and file formats are available follows from the website as it stands at any given time. There is no entitlement to a particular language, format or AI model.

Rights of use in the software

Your subscription grants you a simple, non-exclusive and non-transferable right to use the software for the term of the subscription — in the browser at app.shipglobal.dev and as a desktop app for macOS and Windows. This is not a purchase: you rent the software, and all rights in it remain with Balane GmbH.

The scope follows the number of seats you booked. A seat is one machine. How many machines may use the key at the same time is stored in the license key and checked on activation; within that number you may install the software as often as you like, including on build servers.

What is not permitted

  • Passing on, renting, selling, publishing or otherwise making the license key available to third parties outside your company.
  • Circumventing, manipulating or suppressing activation, license validation or usage metering.
  • Reverse engineering, decompiling or disassembling the software, except where sections 69d and 69e of the German Copyright Act mandatorily permit it.
  • Removing or altering copyright, trademark or license notices.
  • Offering the software itself — or unmodified access to it — as your own product or service.

Working with the software on behalf of third parties is expressly permitted: agencies and service providers may translate their clients’ localisation files. Only passing on the software as such is prohibited.

Suspension on breach

If you breach this section, we may suspend the license key. We will notify you first and set a reasonable period to remedy the breach — unless the breach is so serious that waiting is unreasonable for us. Where suspension is justified, there is no claim to a refund.

Third-party components

The desktop app contains third-party open-source components. Their authors’ license terms apply to them and prevail over these terms to that extent. We provide the list of components and their licenses on request. contact@balane.tech

Treat the license key like a password. Whoever passes it on passes on their invoice: metered usage is attributed to the key, not to the machine.

Prices and billing

Usage is billed monthly: a base fee per seat, plus metered usage when you translate with our model key.

  • The base fee depends on the chosen plan and the number of seats; the current prices are on the pricing page. One seat is one machine.
  • If you translate with our model key, we additionally charge €10 per million tokens (input and output combined). All amounts stated are gross prices including the applicable VAT. Billing is in units of 1,000 tokens; each run is rounded up to the next full unit.
  • If you use your own model key, no usage accrues with us; you pay only the base fee. The model costs are billed to you directly by the provider of your key.
  • Text already held in your translation memory is not sent to an AI model again and causes no usage.

All prices include VAT. The usage of a billing period is billed through Lemon Squeezy with the monthly invoice. We announce price changes in advance; they take effect from the following billing period.

Refunds are handled by Lemon Squeezy as the seller.

Right of withdrawal for consumers

If you are a consumer within the meaning of § 13 of the German Civil Code (BGB), you have a statutory right of withdrawal of fourteen days when taking out the subscription. Withdrawal must be declared to Lemon Squeezy as the seller; the details and the model withdrawal form are provided in the withdrawal instructions during checkout.

Performance beginning before the period expires

If you expressly request that performance begin before the withdrawal period expires — for instance by using the license key right away — and you then withdraw, you owe the value of the performance provided up to the withdrawal (§ 357a BGB). The right of withdrawal expires early once the service has been performed in full, if you expressly consented to performance beginning before the period expired and confirmed your awareness that you would thereby lose your right of withdrawal.

If you withdraw in time, Lemon Squeezy refunds the base fee; compensation for usage already incurred may be deducted.

Your content

You retain all rights in the files and text you translate with ShipGlobal. In the desktop app your files stay on your machine and only the text to be translated is transmitted to the AI model; in the web app the content of the files you select goes to our hosted engine. Which path transmits what is set out in the privacy policy. We do not pass it to third parties, other than the processors named in the privacy policy.

By using the service, you warrant that:

  • you hold the necessary rights in the content,
  • the content does not infringe the rights of third parties,
  • the content does not violate applicable law,
  • you are entitled to have the content machine-translated — including where it contains personal data.

You alone are responsible for the translated content. Before translating, check whether the file contains personal or confidential data that must not be transmitted to an AI service.

Machine translation — what we promise and what we do not

Translations are produced by AI models, not by human translators. We owe you the proper execution of the translation process, not a substantively flawless result.

  • We do promise that placeholders and formatting markers are preserved. Translations that fail this check are not delivered.
  • We do not promise that a translation is substantively correct, stylistically appropriate, or fit for a particular purpose.
  • We do not promise that translations meet the legal requirements of a target market. Legal, medical and safety-critical content belongs with a specialist human translator.

Review the result before you publish it. This is not boilerplate: you are responsible for how the translations are used.

Updates

For the term of the subscription we provide the updates necessary to keep the software usable as agreed and secure (section 327f of the German Civil Code). This covers bug fixes and security updates. It does not give rise to a claim to new features.

The desktop app therefore checks regularly whether a newer version exists and installs it after you confirm. Versions obtained from the Microsoft Store are updated by the Store. What data this check transmits is set out in the privacy policy. privacy policy

If you do not install an update we have provided, we are not liable for defects arising solely from that omission — provided we informed you about the update and about the consequences of not installing it.

Defects

The subscription is a rental relationship over software (sections 535 et seq. of the German Civil Code). We provide the software in a condition that allows the agreed use and keep it in that condition for the term.

We remedy defects within a reasonable period, usually by way of an update. If a material defect persists despite a reasonable period, you may reduce the fee or terminate for cause. Strict liability for defects already present at the time the contract was concluded (section 536a(1) alt. 1 of the German Civil Code) is excluded.

If you are a consumer, sections 327 et seq. of the German Civil Code on contracts for digital products apply in addition. These terms do not restrict the rights granted there.

It is not a defect if the content of a machine translation does not meet your expectations. What we promise about quality, and what we do not, is set out in the section “Machine translation”.

Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, where we have given a guarantee, and under the German Product Liability Act.

For slightly negligent breach of a material contractual obligation — an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose observance you may regularly rely — our liability is limited in amount to the foreseeable damage typical for this type of contract.

Liability is otherwise excluded. In particular, we are not liable for damage arising from your publishing or deploying a machine translation without reviewing it.

We are liable for loss of data only to the extent the damage would have occurred even with proper and regular backups on your side. Back your translations up locally; export is available to you at any time.

Availability

We aim for high availability but do not owe it. No specific uptime figure is promised. Maintenance, failures at upstream providers and force majeure may temporarily limit the service.

If a fault occurs, a run can fail or stay incomplete. Usage charged for a failed run will be refunded.

Translation memory

Your translation memory lives with you: as a file in your project folder, next to the files it describes. It is not stored on our servers; we can neither read it nor use it.

The memory lowers your costs, because what has already been translated is not sent to an AI model again. You can inspect, edit, back up or delete it at any time — it is an ordinary file in your project. Back it up together with your project; no copy exists with us.

Use of AI services

For translation we currently use models from OpenAI. The text to be translated is transmitted to OpenAI for this purpose — via our model key or, if you have configured one, via your own.

We reserve the right to use additional or different AI providers where this serves quality or cost. Changes will be announced in the privacy policy. For details on the processing: Privacy Policy

Termination and deletion

You can cancel the subscription at any time, effective at the end of the current billing period, via the Lemon Squeezy customer portal, reachable from your account. You can delete your account at any time in the settings, without giving reasons; this removes your account and billing data. Your projects and translation memories are on your machine and remain unaffected by the deletion.

We may terminate the contract with 30 days’ notice, and without notice in the event of serious breaches of these terms, in particular unlawful use of the service.

Deletion after inactivity

  • Accounts with no activity — no login and no active subscription — are marked inactive after 12 months.
  • You receive an email 30 days before deletion, to the address on file.
  • If there is no response, the account is irrevocably deleted.
  • Any login resets the period.

Your local projects and translation memories are not affected by an account deletion — they are with you, not with us.

Changes to these terms

We may amend these terms where required by a change in the law, in case law, or in the service. We announce changes by email at least 30 days before they take effect.

If you do not object within that period, the changes are deemed accepted. We will point out this right to object and its consequences separately in the announcement. If you do object, you may terminate the contract as of the date the changes take effect; in that case we refund prepaid periods you have not yet used, pro rata.

Governing law and jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer habitually resident in the EU, mandatory consumer protection provisions of your country of residence remain unaffected.

If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Munich.

Severability

Should any provision of these terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory rules take the place of the invalid provision.
